CONDITIONS OF ORDER AND SALE

  1. No acceptance of any order, or any quotation shall be binding on us unless issued by us in writing at our premises, 123 Caroline Street, Brixton which shall be deemed to be the place at which the contract is concluded.
  2. Our Salesmen and agents have no authority to contract on our behalf and we shall not be liable in respect of any warranties given or misrepresentations made by them.
  3. We shall not be liable for any loss or damage of whatsoever nature arising out of any delay or failure to deliver.
  4. The price stated is based upon our existing cost structures and any increase in the said costs before delivery any additional cost arising from alterations, omissions or discrepancies in drawings, specifications or information by the Purchaser shall be for the Purchasers own account.
  5. If the purchaser should break this contract or seek to cancel the same, we shall be entitled at our option, to fulfill the contract and claim payment in full or alternatively, to accept cancellation and claim damages which will include loss of profit on The unelected portion of the work and the Cost of tools moulds, unused materials and packaging especially manufactured or acquired.
  6. The Purchaser assumes all responsibility and liability for the consequential loss or damage resulting from the handling or use of all articles supplied or manufactured by us, and indemnifies us against any claims made by third parties for damages sustained by reason of the failure of any article supplied or manufactured by us in accordance with your requirements.
  7. Risk shall pass to the Purchaser upon delivery of articles to the purchaser or his Agent, by the Railway or to any other carrier for despatch to, the Purchaser, at which time our responsibility shall cease and the articles be deemed to have been delivered to the Purchaser.
    • (a) Our liability in respect of any article manufactured by us which is proved defective shall be limited either to replacing such, article or at our option, refunding the purchase price paid to us, All claim's shall lapse and be unenforceable unless lodged with us at our premises within seven days of the date of delivery and / or installation in writing Where upon the purchaser shall make available for our inspection any article alleged to be defective. Under no circumstances will we be liable for any consequential loss.
    • (b) We shall not be liable for any defective article supplied but not manufactured by us.
    • (c) N.B. Travelling and labour cannot be guaranteed.
  8. In The event of any amount due to us being handed to an attorney for collection, the Purchaser shall pay such Attorneys costs including collection commission on the attorney and client scale.
  9. The purchase price is payable to us in South African currency at our premises in Brixton and any bank charges or variation in the rate of exchange shall be borne by the Purchaser. Unless otherwise stated in writing by us payment shall be made on delivery of the articles supplied or manufactured by us.
  10. The Purchaser shall pay interest at the current bank rate on all amounts in respect of which payment is overdue.
  11. Ownership of The articles shall not pass to the Purchaser until payment has been made in full Payment may not be withheld pending the settlement of any claims or disputes.
  12. While installing we will take all precautions but we cannot be held responsible for cracking or chipping due to composition of certain walls and tiles.
  13. We cannot be held responsible for any defects on the building.
  14. Regarding cleaning of fabrics: - There are certain fabrics that can Warp, Wrinkle and Shrink. We cannot be held responsible should this happen. Every care and attention is taken, dirt dust, and bacteria will be removed but, ingrained stains, marks, sunburn, paint and natural fading cannot be helped. We can clean old fabric but we can't make it new!
  15. Regarding natural products: - Wood, Woven Wood and Bamboo blinds are completely natural and therefore are subject to inherent imperfections; slight warpage, skewness and colour variations. These are not considered flaws but part of the natural beauty and effect of the product. Slight variations in drop may occur (specifically with two or three blinds in one window.) Colour Variations do occur from batch to batch.
  16. The conditions set out above and on the face hereof are The only conditions which apply to this contract and no other terms, conditions or representations shall be of any effect whether made prior to or subsequent to the date hereof unless conformed by us in writing.
